인적분할(spin-off)
회사가 기존 사업의 신주를 매각하거나 분배하여 새로운 독립 회사를 만드는 것을 의미한다.
인적분할의 이해:
모회사가 해당 사업이 수익성이 있을 것으로 판단하면 당 사업을 분할한다. 분리된 회사는 별도의 경영 구조와 이름을 갖지만 자산, 인적 자원은 동일하게 유지된다.
인적분할 발생 이유

회사가 자원을 집중하고 더 장기적인 잠재력을 가진 부서를 관리하기 위해서 분할한다.

생산성이 떨어지거나 관련 없는 자회사 사업을 분사로 판매하기 위해 분할한다.

인수자를 찾지 못해 자체 독립체로 만들기 위해서 분할한다.
인적분할 단점
주가 변동성이 상승하며 주식 장의 흐름에 크게 영향을 받는다.
인적분할의 방법:
해당 사업 단위에 대한 소유 지분의 100%를 기존 주주들에게 주식 배당금으로 분배한다.
물적분할과 차이:
물적분할(split-off)
기존 회사를 분할하고자 할 때 기존 회사가 지분을 100% 보유한 회사를 신설하는 형태로 이루어지는 회사분할이다.
인적분할(spin-off)
해당 사업 단위에 대한 소유 지분의 100%를 기존 주주들에게 주식 배당금으로 분배한다.

The board of Tencent Holdings Limited (SEHK:700) intent to spin-off 15.5% stake in Meituan (SEHK : 3690) on November 16, 2022. Tencent has resolved to declare a special interim dividend in the form of a distribution in specie of approximately 958,121,562 Class B ordinary shares of Meituan to the Shareholders in proportion to their then respective shareholdings in the Company on the basis of 1 Class B ordinary share of Meituan for every 10 Shares held by the Qualifying Shareholders, being rounded down to the nearest whole number of Meituan Shares. The exact number of Meituan Shares to be distributed by the Company is subject to such possible adjustments arrangements in relation to the Distribution in Specie.
Non-Qualifying Shareholders will not be entitled to receive the Meituan Shares and will instead receive cash-in-lieu payments in respect of the Shares held by them on the basis of 1 Class B ordinary share of Meituan for every 10 Shares held on the Record Date. The Record Date for determining a Shareholder's entitlements to the Distribution in Specie is January 10, 2023. The Record Date for determining a Shareholder's entitlements to the Distribution in Specie is January 31, 2023.
The board of directors of Tencent Holdings Limited will conduct Board meeting on March 22, 2023. It is expected that share certificates for the relevant Meituan Shares will be dispatched on or about March 24, 2023.
